Any pricing, quotes, estimates, unit costs, landed costs, or product prices communicated by Importivity through this website, by email, in proposals, in spreadsheets, or in any other format may reflect any combination of the following components:

• Manufacturer or supplier costs
• Compensation to Importivity for sourcing, consulting, project management, quality control, logistics coordination, and related services
• Allowances for contingencies, currency fluctuations, freight, tariffs, duties, inspection costs, tooling amortization, or other operational factors
• Other amounts as determined by Importivity in its commercial judgment

Importivity does not represent that any quoted price reflects only the direct cost of goods or services from a third-party supplier, nor that any specific markup, margin, allowance, or compensation amount is separately itemized within a quote.

Importivity’s compensation in connection with a project may take various forms, including but not limited to cost-plus percentages, fixed fees, hourly fees, project deposits, or amounts included within an all-in delivered price. The specific compensation structure applicable to any engagement is set out in the master service agreement, statement of work, or order form executed by the client for that engagement, and that executed agreement is the sole binding source of pricing and compensation terms.

By engaging Importivity, you acknowledge and agree that:

• Importivity is entitled to earn compensation in connection with its services
• Compensation arrangements may vary by project, product category, volume, and market conditions
• The composition of any quoted price is a matter of Importivity’s commercial pricing structure and is not subject to disclosure beyond what is expressly required in the executed agreement governing that engagement
• You have had the opportunity to review the applicable engagement terms before entering into a binding commitment

Nothing in this website, in any informal quote, or in any preliminary communication shall be construed as a representation, warranty, or covenant by Importivity concerning the internal composition of any price, fee, or quoted amount.

No Fiduciary Duty

Unless expressly stated in a separately executed written agreement, Importivity does not act as a fiduciary, agent, or trustee of any client or prospective client.

The relationship between Importivity and its clients is a commercial, arms-length relationship governed by the applicable executed agreement. Importivity owes no duty to disclose the internal composition of its pricing, its arrangements with suppliers, or the structure of its compensation beyond what is set out in that executed agreement.

Third-Party Relationships

Importivity may reference, introduce, or connect users with third-party manufacturers, suppliers, freight forwarders, logistics providers, customs brokers, or other service providers.

Importivity does not manufacture products and is not responsible for the actions, performance, quality output, or regulatory compliance of any third party.

Importivity may act as a commercial principal in its transactions with third-party manufacturers and suppliers, including by procuring, contracting for, or arranging goods and services and providing them to clients as part of an integrated service offering at prices determined by Importivity. Where this structure applies, Importivity is not acting as the client’s agent in those upstream transactions and is not obligated to disclose the terms of those transactions to the client except as required in the executed agreement.

Manufacturer and supplier identities, where disclosed by Importivity, are disclosed under the terms of the applicable engagement, which may include mutual non-circumvention and confidentiality obligations. Any direct engagement with third parties outside the scope of an Importivity engagement is at your own risk and subject to separate agreements between you and those parties.
